Important BOIR Update for 2025
FinCEN changed the BOI reporting requirements. Nearly all companies formed in the United States are now exempt. Only certain foreign businesses still need to file ownership information.
Who Must File BOI Reports?
• Foreign businesses formed outside the United States
• Companies that registered to do business in a U.S. state
• Companies that do not qualify for an exemption
Who Is Exempt?
• LLCs formed in the United States
• Corporations formed in the United States
• Family owned companies
• Owner operated trucking businesses
• All U.S. business owners
Most trucking companies and small businesses are fully exempt from BOI reporting under the 2025 rule.
